Section 01

Introduction & Definitions

These Terms of Service ("Agreement") govern your use of the Prime Factors application and related services ("Service") provided by M Three Health Pte. Ltd., operating under the brand name Prime Factors, and its affiliates, subsidiaries, parent companies, successors, and assigns (collectively, "Company," "we," "us," or "our"). The Service helps users self-track their blood sugar and make informed lifestyle adjustments through real-time glucose data from a Continuous Glucose Monitor (CGM) device.

THE SERVICE IS A DIY WELLNESS TOOL — NOT A MEDICAL SERVICE. WE DO NOT PROVIDE MEDICAL ADVICE, DIAGNOSIS, OR TREATMENT. CONSULT YOUR HEALTHCARE PROVIDER BEFORE USING THE SERVICE.

Definitions

  • "Assessment Report"the personalised report generated at the conclusion of the Program containing insights and suggestions based on your CGM Data.
  • "CGM Data"all information collected through the CGM Device, including glucose measurements, time-stamped readings, and related metadata.
  • "CGM Device"the Continuous Glucose Monitoring device you connect to the Service.
  • "HbA1c Data"any glycated haemoglobin test results you optionally provide during onboarding for personalisation purposes.
  • "Program"the structured wellness protocol delivered as part of the Service.
  • "Subscription"your recurring paid access to the Service as described in Section 6.
  • "User / you / your"any individual who accesses or uses the Service.

By using the Service, you agree to be bound by this Agreement. If you do not agree, you must not use the Service.

Section 02

Nature of the Service

2.1 Wellness Service Only

The Service is strictly a DIY self-tracking wellness tool and NOT a medical or healthcare service. We do not diagnose, treat, cure, or prevent any disease or medical condition. Any information provided through the Service is for informational and educational purposes only, to assist you in making your own informed lifestyle adjustments.

2.2 Service Description

  • A structured wellness program with tips, instructions, and self-tracking tools delivered primarily through the Prime Factors app
  • Guidance to help identify correlations between food, activity, lifestyle choices, and your glucose patterns
  • A personalised assessment report generated using a combination of AI-assisted analysis and human review
  • Supplementary communication via WhatsApp or other digital channels where applicable
  • Additional features or content provided at our sole discretion

2.3 Communication Channels

Service delivery occurs primarily through the Prime Factors app. Supplementary communication may occur via WhatsApp, email, or other channels we designate at our sole discretion.

Section 03

Changes to the Agreement

We reserve the right to modify this Agreement at any time at our sole discretion. We will notify you of material changes via in-app notification, email, or other reasonable means. Your continued use of the Service after such notification constitutes acceptance of the updated Agreement.

Section 04

Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction (whichever is greater), and have the legal capacity to enter into a binding contract to use the Service.

The Service is designed for individuals seeking to better understand and manage their blood sugar, including healthy individuals, pre-diabetics, and those with diabetes. If you have diabetes or any other medical condition, we strongly recommend consulting your healthcare provider before using the Service, connecting a CGM device, or implementing any suggestions from the Program.

Section 05

Onboarding & Registration

5.1 Onboarding Process

  • Create an account providing accurate, current, and complete information including your name, email address, and date of birth
  • Accept our Privacy Policy before submitting your details
  • Optionally provide your HbA1c test results during onboarding to personalise your experience
  • Connect your CGM device to the Service in accordance with the provided instructions
  • Complete any additional steps communicated by the Company as part of the onboarding process

5.2 Data Sharing

By connecting your CGM device, you expressly authorise us to access, collect, store, process, analyse, and utilise your CGM Data and, where provided, your HbA1c Data, for the purpose of providing the Service. Withdrawal of this authorisation will result in our inability to continue providing the Service to you.

Section 06

Subscription & Payment

6.1 Subscription Plans

Access to the Service requires a paid subscription. Subscription plans, pricing, features, and billing cycles are as presented at the time of purchase. We reserve the right to change plans, pricing, or availability at any time with reasonable notice.

6.2 Billing and Renewal

Subscriptions are billed on a recurring basis (monthly or annually, as selected) via Stripe or another payment processor of our choosing. Your subscription will automatically renew at the end of each billing period unless cancelled before the renewal date. By subscribing, you authorise us to charge your payment method on a recurring basis.

6.3 Cancellation

You may cancel your subscription at any time through the app or by contacting us at support@myprimefactors.com. Cancellation takes effect at the end of your current billing period. We do not provide refunds for unused portions of a subscription period except as required by applicable law.

6.4 Taxes

All fees are exclusive of taxes, levies, or duties imposed by taxing authorities. You are responsible for all such taxes associated with your use of the Service.

Section 07

Program & Delivery

7.1 Program Overview

The Program is a structured multi-week wellness protocol delivered through the Prime Factors app, designed to help you understand and manage your blood sugar through lifestyle adjustments. We reserve the right to modify the structure, duration, content, or methodology of the Program at any time.

7.2 Assessment Report

At the conclusion of the Program, you will receive a personalised assessment report generated using a combination of AI-assisted analysis and human review, which may include:

  • Glucose pattern analysis and spike frequency
  • Overall glucose stability insights
  • Personalised diet and lifestyle recommendations
  • A summary of foods and activities that may be beneficial or unfavourable for your glucose response

The accuracy and usefulness of the Report depend on the accuracy and completeness of the data you provide and your CGM device's performance.

Section 08

User Responsibilities

8.1 Medical Consultation

You must take full responsibility for consulting a qualified healthcare professional before starting the Program, implementing any suggestions, making changes to your diet or health management practices, and especially if you have any pre-existing health conditions including diabetes.

8.2 Appropriate Use

You agree to use the Service only for lawful purposes. You may not:

  • Share your login credentials with others
  • Use the Service for any illegal, harmful, fraudulent, or unauthorised purpose
  • Interfere with or disrupt the Service or related systems
  • Reverse engineer or attempt to derive the source code or algorithms of the Service
  • Reproduce, sell, or exploit any portion of the Service without express written permission
  • Collect or harvest any information from the Service, including personal information of other users
  • Use the Service to transmit viruses, malware, or other harmful code

Section 09

Privacy & Data Usage

Your use of the Service is subject to our Privacy Policy, which details how we collect, use, process, store, share, and protect your data, including your CGM Data and HbA1c Data. The Privacy Policy is incorporated into this Agreement by reference.

You acknowledge and agree that we may anonymise, aggregate, and process your data for improving the Service, conducting research, developing new features, and other business purposes as described in our Privacy Policy.

Section 10

Intellectual Property

10.1 Ownership

All intellectual property rights in and to the Service — including all content, program materials, assessment methodology, algorithms, software, tools, interfaces, reports, data analyses, methodologies, processes, trade secrets, graphics, and designs — belong exclusively to the Company or its licensors. This Agreement does not transfer any ownership rights to you.

10.2 License

Subject to your compliance with this Agreement, the Company grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service solely for your personal, non-commercial use during your active Subscription. This licence does not include any right to modify, copy, distribute, or create derivative works of the Service.

10.3 Feedback

Any suggestions, comments, or feedback you provide regarding the Service are assigned to the Company in full. The Company may use such feedback freely without any obligation to you.

10.4 Trademarks

The M Three Health Pte. Ltd. name, the Prime Factors brand name and logo, and all related marks, designs, and slogans are trademarks of the Company or its licensors. You may not use such marks without prior written permission.

Section 11

Disclaimers & Limitations of Liability

11.1 As-Is Basis

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. THE COMPANY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. THE COMPANY DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

11.2 No Medical Advice

THE INFORMATION PROVIDED THROUGH THE SERVICE IS FOR INFORMATIONAL AND EDUCATIONAL PURPOSES ONLY AND IS NOT MEDICAL ADVICE. THE SERVICE DOES NOT CREATE A DOCTOR-PATIENT RELATIONSHIP. THE COMPANY DOES NOT DIAGNOSE MEDICAL CONDITIONS, PROVIDE TREATMENT PLANS, OR PRESCRIBE MEDICATION.

11.3 CGM Data Accuracy

THE COMPANY IS NOT RESPONSIBLE FOR THE ACCURACY OR RELIABILITY OF THE CGM DEVICE OR CGM DATA. THE ASSESSMENT REPORT AND ALL INSIGHTS MAY BE AFFECTED BY DEVICE LIMITATIONS, CALIBRATION ISSUES, USER ERROR, OR OTHER FACTORS BEYOND OUR CONTROL.

11.4 Limited Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES RESULTING FROM YOUR USE OF THE SERVICE. THE COMPANY'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU DURING THE THREE (3) MONTHS PRECEDING THE CLAIM, OR USD 100, WHICHEVER IS LESS.

11.5 Health Outcomes

THE COMPANY DOES NOT GUARANTEE ANY SPECIFIC HEALTH OUTCOMES OR RESULTS. INDIVIDUAL RESULTS MAY VARY SIGNIFICANTLY.

11.6 Risk Assumption

YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. YOU ASSUME FULL RESPONSIBILITY FOR ALL RISK ASSOCIATED WITH YOUR USE, INCLUDING ANY DIETARY, EXERCISE, OR LIFESTYLE CHANGES YOU IMPLEMENT BASED ON THE SERVICE.

Section 12

Indemnification

You agree to defend, indemnify, and hold harmless the Company, its affiliates, licensors, and service providers, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or fees (including reasonable attorneys' fees) arising out of your violation of this Agreement, your use of the Service, or any decisions or actions you take based on the Service.

Section 13

Termination

13.1 By the Company

We may terminate or suspend your access to all or any part of the Service at any time, with or without notice, for any reason in our sole discretion, including if we believe you have violated this Agreement.

13.2 By You

You may terminate your use of the Service by cancelling your Subscription in accordance with Section 6.3 and discontinuing use of the Service.

13.3 Effect of Termination

Upon termination, your right to use the Service will immediately cease. We may delete or archive your data at our discretion. All provisions which by their nature should survive termination shall do so, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

13.4 No Refund on Termination

Termination shall not entitle you to any refund of fees paid, except as required by applicable law or as stated in Section 6.3.

Section 15

Severability

If any provision of this Agreement is found to be invalid or unenforceable, it will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in full force and effect.

Section 16

Governing Law & Dispute Resolution

16.1 Governing Law

This Agreement shall be governed by, and construed in accordance with, the laws of Singapore, without giving effect to any conflict of laws principles.

16.2 Dispute Resolution

Any dispute arising out of or in connection with this Agreement shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre (SIAC) in accordance with the SIAC Arbitration Rules in force at the time, which rules are deemed incorporated by reference.

16.3 Arbitration Proceedings

  • Seat of arbitration: Singapore
  • Tribunal: one (1) arbitrator appointed in accordance with the SIAC Rules
  • Language: English
  • All awards and materials shall be kept confidential, except as required by legal duty

16.4 Class Action Waiver

YOU AGREE TO RESOLVE DISPUTES ON AN INDIVIDUAL BASIS ONLY. YOU WAIVE ANY RIGHT TO PARTICIPATE IN CLASS ACTIONS, CLASS ARBITRATIONS, OR REPRESENTATIVE ACTIONS. IF THIS WAIVER IS FOUND UNENFORCEABLE, THE ENTIRETY OF THIS DISPUTE RESOLUTION SECTION SHALL BE NULL AND VOID.

16.5 Time Limitation

ANY CLAIM ARISING OUT OF OR RELATING TO THIS AGREEMENT MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES, OTHERWISE IT IS PERMANENTLY BARRED.

Section 17

General Provisions

17.1 Complete Agreement

This Agreement, together with the Privacy Policy and any other legal notices published by the Company, constitutes the entire agreement between you and the Company concerning the Service and supersedes all prior communications and understandings.

17.2 Waiver

Any failure by the Company to assert a right or provision under this Agreement shall not constitute a waiver of such right or provision.

17.3 Assignment

You may not assign or transfer this Agreement without the Company's prior written consent. The Company may assign or transfer this Agreement without restriction.

17.4 Force Majeure

The Company shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including acts of God, pandemic, fire, flood, earthquake, labour disputes, civil commotion, terrorism, or governmental actions.

By using the Service, you acknowledge that you have read, understood, and agree to be bound by this Agreement.
